Terms of Service

1. Acceptance of Terms

By accessing or using Soltolaria Strategic Solutions Inc. ("Soltolaria," "we," "us," or "our") platform and services (collectively, the "Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all terms and conditions, you may not access or use the Platform.

These Terms constitute a legally binding agreement between you and Soltolaria. You represent that you are at least 18 years of age and have the legal capacity to enter into these Terms.

2. Description of Services

Soltolaria provides a peer-to-peer renewable energy trading platform that utilizes blockchain technology and AI-powered market predictions. Our services include:

• Peer-to-peer energy trading marketplace
• AI-powered price predictions and market analytics
• Carbon credit generation and trading
• IoT device integration for energy monitoring
• Multi-chain blockchain wallet services
• Virtual power plant participation

3. User Accounts & Registration

To access certain features, you must create an account. You agree to:

• Provide accurate, current, and complete registration information
• Maintain and update your information to keep it accurate
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Energy Trading Terms

By participating in energy trading on our Platform, you acknowledge:

• Energy trading involves financial risk, and you may lose funds
• AI predictions are not guaranteed and should not be sole basis for decisions
• You are responsible for compliance with local energy regulations
• All trades are final once executed on the blockchain
• Network fees and gas costs are your responsibility

5. Acceptable Use Policy

You agree NOT to:

• Use the Platform for any illegal purpose
• Attempt to manipulate markets or engage in wash trading
• Upload malicious code or interfere with Platform operations
• Impersonate others or provide false information
• Reverse engineer or attempt to access source code
• Use automated bots without prior authorization

6. Intellectual Property Rights

All content, features, and functionality of the Platform, including but not limited to software, algorithms, text, graphics, logos, and trademarks, are owned by Soltolaria and protected by international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, or create derivative works without our express written permission.

7. Fees and Payments

Soltolaria charges fees for certain services, including:

• Trading fees (percentage of transaction value)
• Subscription fees for premium features
• Withdrawal fees for fiat currency conversions

All fees are disclosed prior to transaction completion. Blockchain network fees are separate and determined by network conditions.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLTOLARIA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE PLATFORM. OUR TOTAL LIABILITY SHALL NOT EXCEED THE FEES YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify and hold harmless Soltolaria, its affiliates, officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

10. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Ontario, Canada, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the courts of Ontario, Canada.

11. Dispute Resolution

Before initiating formal legal proceedings, you agree to first attempt to resolve any dispute through our internal dispute resolution process by contacting legal@soltolaria.com. If the dispute cannot be resolved within 30 days, either party may pursue binding arbitration or litigation in accordance with Section 10.

12. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 30 days before taking effect. Your continued use of the Platform after changes become effective constitutes acceptance of the modified Terms.

13. Termination

We may terminate or suspend your account and access to the Platform immediately, without prior notice, for any violation of these Terms. Upon termination, your right to use the Platform will cease immediately, though you may withdraw any funds held in your account subject to applicable holding periods.
